# Terms of Service

Star and Starspace, by Mainstar Inc. Version 1.0, effective 20 October 2026.

These terms are the agreement between you and Mainstar Inc. for using Star and Starspace. They are short on purpose.
Please read them.

**The short version**

- What you put in stays yours. We never sell it.
- We may use content and usage to improve and train our models and services. Anyone can object; Enterprise
customers can opt out by contract.
- Star is an AI system, not a person. She can be wrong. Check her work before you rely on it.
- You can export or delete your content in your space, or by e-mailing legal@mainstar.ai.
- Questions: legal@mainstar.ai.

## 1. Who we are

Star and Starspace are offered by Mainstar Inc., a Delaware corporation, 2261 Market Street STE 64609, San Francisco,
CA 94114, United States ("Mainstar", "we", "us"). "Service" means Star, Starspace, and the apps, websites and support
we provide with them.

By accepting these terms, or by using the Service, you agree to them. Our Privacy Policy explains how we handle
personal data. If you use the Service for an organisation, you accept these terms for it and confirm you may do so;
"you" then also means that organisation.

## 2. Your account

- You must be at least 18.
- Keep your password to yourself. You are responsible for what happens under your account.
- If you think someone else used your account, tell us at once at legal@mainstar.ai.

## 3. What the Service does

Starspace gives you a private space with Star, an AI assistant. Star listens to and reads what you give her,
remembers what you ask her to, carries out tasks you ask for, and shows you what changed. We improve the Service over
time: features can change for security, legal, technical or product reasons. If a change reduces what you pay for by more
than a minor degree, we tell you in advance; you may then cancel within 30 days and get a refund for the unused
period.

## 4. Star and AI output

When you talk to Star, you are interacting with an AI system, and her outputs are AI-generated. AI output can be
incomplete, outdated or wrong, and can sound sure when it is not. Check anything important before
you rely on it, especially figures, names, and legal, financial, medical or safety matters. Star is not a substitute
for professional advice.

Star does not send messages, e-mails or payments for you unless you connect an account and approve the action, and
she does not spend money without your approval. When you ask her to act through an account you connected, you are
responsible for that instruction and its result.

## 5. Your content

"Your content" is everything you put into the Service (what you say and type, recordings, files, notes,
instructions) and the outputs Star produces for you.

- **Ownership.** You keep all rights in your content. As between you and us, outputs made for you are yours.
- **Licence to run the Service.** You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy,
process and transmit your content as needed to run, secure and support the Service for you, including through the
providers listed in the Privacy Policy. It ends when your content is deleted, except for copies kept as the
  Privacy Policy describes.
- **Licence to evaluate, improve and train.** You also give us a non-exclusive, royalty-free licence to use your
content and your usage of the Service to evaluate, improve and train our own models and services, as described in
section 6 and the Privacy Policy. Models and improvements we build are ours. When you opt out or object, this
licence ends for all new evaluation, test-set, improvement and training use; it does not reach into models
  already trained.
- We never sell your content and never use it for advertising.
- You decide what you share or upload and with whom, and you are responsible for those choices. That includes
giving other people access to your space and what they can then see, and having the rights and consents for what
you put in, including personal data about other people. If you upload or capture a recording of a conversation,
everyone in it must have agreed to be recorded where the law requires it. This does not limit our own legal
duties, set out in the Privacy Policy and Data Processing Agreement.

## 6. Training and your choices

- **What we may do.** We may use content and usage data to evaluate, improve and train our own models and
services, for example to make Star understand requests better or answer faster. We de-identify data where practical before
using it for training, keep training data under the same security as the rest of the Service, and limit who can
  see it.
- **Third-party AI providers.** The AI and voice providers we use process your content to answer you. Our rule is
to use them only on terms or settings under which they do not train their own models on content we send them. They
are named in the Privacy Policy.
- **Today.** No model is trained on content from customer spaces.
- **Objecting.** Anyone, with or without an account, can object to our use of their content for training by writing
to legal@mainstar.ai. After we confirm, their content and usage data, past and future, are excluded from our later
evaluation, test sets, improvement and training, including reuse of existing test sets.
- **Enterprise opt-out.** Customers on an Enterprise plan can opt out of training in their agreement with us. The
opt-out covers the customer's content and usage data, past and future, in the same way.
- **Existing models.** Objections and opt-outs cover future training and do not ordinarily require retraining
existing models. This does not limit your legal rights over personal data, set out in the Privacy Policy.

## 7. Confidentiality

We treat your content as confidential. We never share it with or show it to another customer, and we use it only to
provide the Service and as section 6 allows. Inside Mainstar, access is limited to the people and automated systems
that run, secure and improve the Service, and only for those purposes. If your data is lost, disclosed or accessed
without permission, we tell you without undue delay and, where we can, within 72 hours of learning of it.

## 8. Acceptable use

Do not use the Service to break the law, infringe others' rights, or harm, harass, deceive or defraud anyone. Do not
record people without the consents the law requires, impersonate anyone, or use Star to make decisions about people
that the law reserves for humans without the review it requires. Do not probe or test its security, get around its
limits, reverse engineer it, resell it, scrape it, overload it, or use it to build a competing service, unless we
agree in writing. Do not use it where sanctions or export laws forbid it.

## 9. Fees

Paid plans show their price, currency and billing period before you pay, or we agree them with you in writing. We
bill by card through Stripe or by invoice. You can cancel at any time; your plan then stops renewing and you keep
access until the end of the period you paid for. If the Service did not work for you, write to us within 14 days of
a charge and we refund that charge in full. We tell you at least 30 days before a price change applies to you. This refund promise is in addition to your
statutory rights. Consumers in the EU and UK may withdraw within 14 days after entering the contract, without giving a
reason, by any clear statement to legal@mainstar.ai or our postal address; we refund within 14 days using the original
payment method. Consumers keep their legal remedies for a service that does not work. You may, but need not, use this form: "To
Mainstar Inc., 2261 Market Street STE 64609, San Francisco, CA 94114, United States, legal@mainstar.ai: I withdraw
from my contract for Star and Starspace. Ordered on: ___. Name: ___. Address: ___. Date: ___. Signature (only on
paper): ___."

## 10. Our rights and feedback

Mainstar and its licensors own the Service, including its software, models, design and the names Mainstar, Star and
Starspace. You, and for an organisation its authorised users, get a non-transferable right to use it under these terms while
your account is active. If you send us feedback, we may use it freely.

## 11. Other services

The Service relies on the providers listed in the Privacy Policy. If you connect your own account at another service
(for example e-mail or calendar), that service's terms also apply to your use of it. We remain responsible for
providers we appoint to deliver the Service, as these terms and the law require; we are not responsible for services
you connect yourself.

## 12. Ending

You can stop using the Service and close your account at any time. We may suspend or close an account that seriously
or repeatedly breaks these terms or puts others at risk, or where the law requires it; where reasonable we tell you
first and let you export your content. If we close your account without cause, we refund any prepaid amount for the
unused period. After closure we delete your content as described in the Privacy Policy. Sections 5, 6, 7, 10 and 13
to 16 continue after the end.

## 13. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind,
including merchantability, fitness for a particular purpose and non-infringement. We do not promise that it will be
uninterrupted or error-free, or that AI output will be accurate.

## 14. Limitation of liability

To the extent the law allows, Mainstar is not liable for indirect, incidental, special, consequential or punitive
damages, or for lost profits, revenue or data. Our total liability for all claims about the Service is limited to
the greater of what you paid us in the 12 months before the claim and 100 U.S. dollars. These exclusions and this cap do not
apply to liability for fraud, wilful misconduct or gross negligence, or to anything else the law says cannot be
limited.

## 15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law
rules. Courts located in Delaware have exclusive jurisdiction. If you are a consumer, you keep the protection of the
mandatory laws of the country where you live and may also bring a claim in its courts. Before filing a claim, write
to us at legal@mainstar.ai so we can try to resolve it within 30 days.

## 16. Changes and general

We may update these terms. We show you a new version in the Service and ask you to accept it before you continue.
If you use the Service for an organisation, our Data Processing Agreement forms part of these terms from the moment
you accept them, with no separate signature needed. These terms, the Privacy Policy and that agreement are the whole
agreement between you and Mainstar about the Service. Only a written Enterprise agreement signed by Mainstar that
expressly refers to these terms can add to or change them, and it wins where they differ. If a part is
unenforceable, the rest still applies. Not enforcing a part is not a waiver. You may not transfer these terms without our consent; we
may transfer them to a successor in a merger, acquisition or sale of assets.
